VSIOP Planner – Manufacturing ERP Suite

1. Acceptance

By accessing or using VSIOP Planner ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

VSIOP Planner is a cloud-based manufacturing ERP platform providing sales, purchase, production, inventory, accounting, quality, and related business process management. The Service is provided on a subscription basis.

3. Account and Access

  • You must provide accurate registration information and keep it current
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity under your account
  • You must notify us promptly of any unauthorized access

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may NOT:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property or privacy rights of others
  • Transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Use the Service in a way that could harm, disable, or overburden our infrastructure
  • Resell or redistribute the Service without written authorization

5. Data and Content

  • You retain ownership of your data
  • You grant us a limited license to process your data to provide and improve the Service
  • You are responsible for the accuracy and legality of data you upload
  • We will handle your data in accordance with our Privacy Policy

6. Subscription and Payment

  • Fees are as specified in your order or subscription plan
  • Payment terms (e.g., monthly, annual) apply as agreed
  • We may change fees with reasonable notice; continued use after changes constitutes acceptance
  • Unpaid accounts may be suspended or terminated

7. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice when possible.

8. Termination

  • You may cancel your subscription as per your plan terms
  • We may suspend or terminate your access for breach of these Terms or non-payment
  • Upon termination, you may export your data during a grace period as specified in your plan

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE.

11. Changes

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
