End User License Agreement (EULA)

1. Agreement
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "Customer") and VSIOP Planner ("Licensor") for the VSIOP Planner Manufacturing ERP software and related services ("Software").
By accessing, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.
2. License Grant
Subject to your compliance with this Agreement and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable license to:
- Access and use the Software for your internal business operations
- Use the Software for the number of users, plants, or other limits specified in your subscription or order
3. Restrictions
You may NOT:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, sublicense, or transfer the Software to any third party
- Use the Software to provide services to third parties (e.g., as a service bureau) without written consent
- Circumvent any technical limitations or access controls
- Remove or alter any proprietary notices
4. Intellectual Property
The Software, including all code, designs, and documentation, is the exclusive property of Licensor. This Agreement does not transfer any ownership rights to you.
5. Data and Privacy
Your use of the Software is also governed by our Privacy Policy. You retain ownership of your data. Licensor will process your data only as necessary to provide the Software and as described in the Privacy Policy.
6. Support and Updates
Support and updates are provided as specified in your subscription or order. Licensor may discontinue support for older versions with reasonable notice.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SOFTWARE.
9. Termination
This Agreement is effective until terminated. Licensor may terminate your access if you breach this Agreement. Upon termination, you must cease all use of the Software.
